The Art of the Deal: Donald Trump’s $1.1 Billion ‘Earnout’ Bonus
Trump Media & Technology Group Stock Hits Milestone, Securing $1.1 Billion for Donald Trump
Trump Media & Technology Group stock (DJT) has reached a significant milestone that will guarantee Donald Trump an additional $1.1 billion.
As per a regulatory filing, Trump is set to receive an extra 36 million shares if the company’s stock price trades above $17.50 for twenty out of any thirty trading days over the next three years.
Trump achieved his “earnout” bonus at the close of Tuesday’s trading session, with the stock trading at around $33 per share.
Trump Media's Journey and Market Performance
Trump Media, the parent company of Truth Social, went public on the Nasdaq through a merger with special purpose acquisition company Digital World Acquisition Corp. Shares have seen a decline of nearly 60% since the end of March.
Short interest in DJT stock, which indicates bets on the stock price falling, stands at about 13% of outstanding shares, based on the latest data from S3 Partners. The company recently made efforts to combat short sellers by advising investors on protecting their shares from being used for short-interest positions.
Trump's Stake and Market Cap
Trump holds a roughly 60% stake in the company, leading to a market cap of approximately $4.3 billion for Trump Media. This gives the former president a stake valued at around $2.6 billion, down from over $4.5 billion right after the company's public debut.
Challenges and Legal Issues
Trump founded Truth Social after being banned from major social media platforms like Facebook and Twitter following the Jan. 6 Capitol riots in 2021. Despite his reinstatement on these platforms, Trump faces financial challenges.
An updated regulatory filing revealed that Trump Media reported sales of just over $4 million with net losses nearing $60 million for the year ending Dec. 31. The company anticipates ongoing losses amid profitability hurdles.
Stakeholders are subject to a six-month lockup period before selling or transferring shares, with exceptions possible through board approval. Experts suggest that any attempt to bypass this could lead to legal disputes from public shareholders.
Legal Battles and Financial Struggles
Trump is dealing with a $454 million fraud penalty and a campaign fundraising shortfall ahead of his 2024 election rematch against Biden. He posted a $175 million bond in a fraud case, delaying the final payment as he appeals the verdict. Additionally, he is facing a criminal trial related to alleged payments to adult film star Stormy Daniels.
